Example:
THIS AGREEMENT made
this _________day of_____________________, 2008, by and between FASTER
PERMITS, hereinafter called the Consultant, and __________________________,
hereinafter called the Client.
WITNESSETH, that the Consultant and the Client for the consideration named agree
as follows:
ARTICLE 1. SCOPE OF THE WORK-The Consultant shall perform all of the work
described in the attached specifications entitled “FASTER PERMITS Scope of
Work.”
ARTICLE 2. TIME OF COMPLETION-The work to be performed under this
Contract shall be commenced on or before_______________________________, 2008.
The Consultant makes no guarantee of time of completion for any work or
project due to the unpredictable nature of the construction industry and its
related bureaucracies. The Consultant understands and agrees that time is of the
essence and warrants that all work shall be performed in a timely manner.
ARTICLE 3. THE CONTRACT PRICE-The Client shall pay the Consultant for the
time and material to be spent under the Contract the sum of: (check all that
apply)
( ) 85 Dollars per billable hour ($85.00/hr.). “Billable” time is defined as
time
productively spent on the client’s behalf.
( ) $______________, A flat fee. Subject to additions and deductions pursuant
to
authorized change orders.
( ) $______________, A retainer fee to be used for initial research,
feasibility
analysis, etcetera, and to be deducted from the final invoice.
( ) $______________, Cost not to exceed this amount unless otherwise approved
by both parties in a written, signed change order request.
ARTICLE 4. PAYMENT-The
Client shall pay the Contractor the full sum of invoices no later than 30 days
subsequent to receipt.
Past due accounts will be charged interest at the rate of 1.5% per month.
ARTICLE 5. GENERAL PROVISIONS
1.
All work shall be completed in a professional
manner and in compliance with all applicable laws.
2.
Consultant may at its discretion engage
subcontractors to perform work hereunder, provided Consultant shall fully pay
said subcontractor and in all instances remain responsible for the proper
completion of this Contract.
3.
All change orders
shall be in writing and signed by both Client and Consultant.
4.
In the event Client
shall fail to pay any periodic or installment payment due hereunder, Consultant
may cease work without breach pending payment or resolution of any dispute.
5.
All disputes
hereunder shall be resolved by binding arbitration in accordance with the rules
of the American Arbitration Association.
6.
Consultant shall not be liable for any delay due to
circumstances beyond its control.
